Terms of Service for Uptrendly App

These Terms of Service ("Terms") govern your use of the Uptrendly platform (the "Platform"), provided by Uptrendly Ltd. ("Uptrendly," "we," "us," or "our") a privately owned, limited liability company registered under the laws of Nepal. By accessing or using the Platform, you agree to be bound by these Terms.

  1. Description of the Platform
    1.1. Uptrendly is a matchmaking application designed to connect brands with influencers/creators ("Creators") who are interested in collaborating on marketing campaigns. The Platform facilitates the communication and collaboration between Brands and Creators for the purpose of influencer marketing campaigns.
  2. User account
    2.1. By creating an account, you represent and warrant that all information provided is accurate, current, and complete. You are responsible for maintaining all activities that occur under your account.
    2.2. You must be at least 18 years old to register and use the Platform. If you are registering on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
  3. User Responsibilities and Conduct
    3.1. You are solely responsible for your conduct while using the Platform. You agree to use the Platform in compliance with all applicable laws, regulations, and these Terms.
    3.2. You agree not to:
     3.2.1. Use the Platform for any illegal, unauthorized, or prohibited purpose.
     3.2.2. Violate any third party's rights, including intellectual property rights.
     3.2.3. Upload, post, or transmit any content that is defamatory, obscene, hateful, or violates the privacy or publicity rights of others.
     3.2.4. Engage in any fraudulent or deceptive activities.
     3.2.5. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  4. Brand and Creator Relationships
    4.1. Uptrendly provides a platform for Brands and Creators to connect and collaborate. When using the Platform, Brands and Creators agree to be bound by the terms and conditions set forth by Uptrendly for their interactions and collaborations, including creating campaigns and applying to campaigns.
    4.2. Brands and Creators understand and acknowledge that any agreements, contracts, or transactions entered into between them are solely between the parties involved. Uptrendly acts as a facilitator and is not a party to such agreements. However, Brands and Creators agree that Uptrendly has the right to view the conversations and interactions between the concerned parties in cases where disputes or conflicts arise.
    4.3. In the event of disputes or conflicts between Brands and Creators, either party may report the issue to Uptrendly for review and resolution. We will endeavor to mediate and facilitate a resolution between the parties involved. Brands and Creators agree to cooperate with Uptrendly in the resolution process.
    4.4. Brands and Creators acknowledge and agree that Uptrendly's role in resolving disputes is limited to facilitating communication and negotiation. Uptrendly does not guarantee the outcome of any dispute resolution and shall not be held liable for any losses or damages incurred as a result of the resolution process or the final resolution itself.
  5. Intellectual Property
    5.1. By using the Platform, you grant Uptrendly a non-exclusive, worldwide, royalty-free license to use and display your content solely for the purposes of operating, marketing, and promoting the Platform.
  6. Privacy
    6.1. Uptrendly values your privacy and handles personal information in accordance with its Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your personal information as described in the Privacy Policy.
  7. Termination
    7.1. Uptrendly may terminate or suspend your access to the Platform at any time for any reason, without prior notice or liability. You may terminate your account by contacting us.
    7.2. Upon termination, all rights and obligations under these Terms will cease, except for those that by their nature should survive termination, such as intellectual property rights, disclaimers, and limitations of liability.
    7.3. Additionally, if you choose to terminate your account, please note that the contact number (for brands) and social media accounts (for creators) associated with the terminated account cannot be reused for signing up on our platform. If you wish to sign up again with the same contact number or social media accounts, you will need to contact us for further assistance.
  8. Modifications to the Terms
    8.1. Uptrendly reserves the right to modify or update these Terms at any time. We will provide notice of any material changes by posting the revised Terms on the Platform or by other reasonable means. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
  9. Governing Law and Jurisdiction
    9.1. These Terms shall be governed by and construed in accordance with the laws of the Government of Nepal. Any disputes arising out of or relating to these Terms or the use of the Platform shall be exclusively subject to the jurisdiction of the courts located in Nepal, as prescribed by Nepali law.

These Terms, together with any additional terms or policies referenced herein, constitute the entire agreement between you and Uptrendly relating to the use of the Platform and supersede any prior or contemporaneous agreements or understandings.
